SPS Transaction Services Inc. of Riverwood, a subsidiary of Sears, Roebuck and Co., said it filed with the Securities and Exchange Commission for a proposed initial public offering of 3 million common shares in late February. The offering would represent about 23 percent of SPS` outstanding common stock.
