LEARNING UNIT OFFERING

American Learning Corp., a unit of Encyclopaedia Britannica Inc., said it will offer 850,000 shares of common stock at $10 a share. American Learning operates ”The Reading Game” and other learning centers. Britannica will retain a 78 percent stake in American Learning.
